A Massachusetts certificate of good standing (aka a Massachusetts certificate of existence) is a document issued by Massachusetts secretary of state (or official who performs those duties) and is conclusive evidence that a Massachusetts corporation, Massachusetts llc, or any other entity filed in Massachusetts is in good standing with the state and is in compliance with all Massachusetts-required formalities.
If you plan to register your corporation, llc, or other registered business entity in a state other than the one in which your formed it, you must file a valid Certificate of Good Standing (received from your entity's home state within 90 days) along with all other documentation needed for your entity to be able to transact business in another state.
A Certificate of Good Standing will only be issued by Massachusetts if you have paid all required state fees to keep your Massachusetts corporation or llc active.
